1. Scope and Provider

These Terms of Service ("Terms") govern your use of Veritos, including the website veritos.io and the web application app.veritos.io (collectively, the "Service"). The Service is operated by:

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. These Terms apply to all users, including free and paid account holders.

2. Description of Service

Veritos is a SaaS platform that allows engineering teams to create, manage, and sync AI coding resources (rules, skills, subagents, MCPs) across GitHub repositories via pull requests. The Service includes a web dashboard at app.veritos.io and a GitHub App integration.

3. Accounts

You must create an account to use the Service. You are responsible for:

• Providing accurate account information and keeping it up to date
• Maintaining the security of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

You must be at least 16 years old to create an account. Accounts may not be shared between individuals.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Upload or transmit malicious code, malware, or harmful content
• Attempt to gain unauthorized access to the Service or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to infringe on intellectual property rights of others
• Resell or sublicense access to the Service without our written consent
• Interfere with or disrupt the integrity or performance of the Service
• Use automated means to access the Service in a manner that exceeds normal usage

5. GitHub Integration

The Service integrates with GitHub via a GitHub App. By connecting your GitHub account or organization, you authorize us to access and modify repository contents as described in our Privacy Policy and as necessary to perform syncs. You are responsible for ensuring you have the authority to connect any repositories to the Service. We will only access repositories you explicitly connect.

6. Your Content

You retain ownership of all content you create within the Service (Library items, Knowledge Base documents, etc.). By using the Service, you grant us a limited license to store, process, and transmit your content solely to provide the Service.

You are solely responsible for the content you create and sync to repositories. We do not review content for accuracy, legality, or appropriateness.

7. Pricing and Payment

Veritos offers a free tier and paid plans. Paid plan pricing is displayed at app.veritos.io. By subscribing to a paid plan:

• You authorize us to charge your payment method on a recurring basis
• Subscriptions auto-renew unless cancelled before the renewal date
• Fees are non-refundable except as required by law or at our discretion
• We may change pricing with 30 days' notice to active subscribers

All prices are listed exclusive of VAT where applicable. For customers within the EU, the applicable VAT rate will be added.

8. Right of Withdrawal (EU Consumers)

If you are a consumer within the EU, you have the right to withdraw from a paid subscription within 14 days of purchase without giving any reason. To exercise this right, notify us at hello@veritos.io.

If you have explicitly requested that the Service begin during the withdrawal period and have acknowledged that you lose your right of withdrawal upon full performance of the contract, the right of withdrawal may expire earlier.

9. Intellectual Property

The Service, including its design, code, trademarks, and all content we create, is owned by Pomper.Dev e.U. and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as described here.

10. Availability and Warranty

We aim to provide the Service with high availability but do not guarantee uninterrupted, error-free operation. We may temporarily restrict access for maintenance, updates, or security reasons.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

To the extent permitted by applicable law:

• Our liability is limited to cases of intent and gross negligence.
• In cases of slight negligence, we are only liable for breaches of essential contractual obligations, limited to foreseeable, typical damages.
• Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not liable for indirect, incidental, special, or consequential damages, including loss of profits or data.

These limitations do not apply to liability for personal injury or where limitation is prohibited by mandatory law.

12. Termination

You may cancel your account at any time from the account settings in the app. We may suspend or terminate your account if you violate these Terms, with reasonable notice where possible.

Upon termination, your right to use the Service ceases immediately. We will delete your content within 30 days following termination, unless a longer retention period is required by law.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or a prominent notice in the Service. If you do not agree with the updated Terms, you may cancel your account before they take effect. Continued use after changes take effect constitutes acceptance.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Austria, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).

For consumers within the EU: mandatory consumer protection provisions of your country of residence remain applicable. You may bring legal proceedings in the courts of your place of residence or in the courts of Vienna, Austria. The EU Online Dispute Resolution platform is available at https://ec.europa.eu/consumers/odr.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
